1Acceptance of terms

By accessing or using the Services you confirm that you have read, understood and agreed to be bound by these Terms and by our Privacy Policy. Where Bosla and your organization sign a separate subscription, order form or master services agreement, that agreement governs in the event of any conflict with these Terms.

2The Services

Bosla provides a transport management system (TMS) for fleet operators, carriers and shippers, including live tracking, dispatching, trip and order management, document handling, invoicing and reporting. The Services are provided on a software-as-a-service basis and are delivered over the internet. Specific features available to you depend on your subscription plan and configuration.

3Accounts & eligibility

Access to the platform is provisioned to organizations and their authorized users. You are responsible for the accuracy of registration information, for keeping login credentials confidential, and for all activity under your account. You must notify us promptly of any unauthorized access. We may suspend accounts where credentials are shared, compromised or misused.

4Subscriptions, orders & fees

Paid Services are provided under the plan, term and pricing set out in your order form or subscription agreement. Unless stated otherwise, fees are exclusive of applicable taxes (including VAT) and are payable in advance. Late or unpaid amounts may result in suspension of access. Demo requests submitted through this website carry no payment obligation.

5Acceptable use

You agree to use the Services lawfully and only for their intended business purpose. You must not:

• Enter false, misleading or fraudulent shipment, trip, pricing or location information.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems.
• Copy, modify, reverse-engineer, resell or create derivative works of the Services.
• Use the Services in any way that violates applicable laws, regulations or the rights of others.

6Customer data & ownership

You retain all rights to the data your organization submits to the Services ("Customer Data"). You grant Bosla a limited licence to host, process and use Customer Data solely to provide and improve the Services and as described in our Privacy Policy. You are responsible for ensuring you have the necessary rights and consents for the Customer Data you provide.

7Intellectual property

The Services, including all software, design, content, trademarks and the "bosla" name and logo, are owned by or licensed to Bosla and protected by intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you.

8Third-party services

The Services may integrate with or rely on third-party providers such as mapping, location, messaging, government and cloud services. Your use of those services may be subject to their own terms. Bosla is not responsible for the content, accuracy or availability of third-party services.

9Service availability

We work to keep the Services available and reliable, and applicable availability commitments (if any) are set out in your subscription agreement. We may carry out maintenance, and may update, modify, suspend or discontinue features. We do not guarantee uninterrupted or error-free operation outside of any agreed service levels.

10Confidentiality

Each party may receive confidential information from the other. The receiving party will protect such information with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and contractors who need to know and are bound by similar obligations.

11Disclaimers

Except as expressly stated, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and the accuracy of estimated arrival times or location data. Operational decisions remain the responsibility of the operator and its personnel.

12Limitation of liability

To the maximum extent permitted by law, Bosla shall not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, data or business, arising from your use of or inability to use the Services. Bosla's total aggregate liability arising out of or related to the Services shall not exceed the amounts paid by you for the Services in the twelve months preceding the claim.

13Indemnity

You agree to indemnify and hold Bosla harmless from claims, losses and expenses arising from your breach of these Terms, your misuse of the Services, or your violation of applicable law or the rights of any third party.

14Term & termination

These Terms apply while you use the Services. We may suspend or terminate access for breach of these Terms, non-payment, or as required to protect the platform or comply with law. On termination, your right to use the Services ceases. Provisions that by their nature should survive termination will continue to apply.

15Governing law

These Terms are governed by the laws of the Kingdom of Saudi Arabia, and the competent courts of the Kingdom shall have jurisdiction over any dispute arising from them, without prejudice to any mandatory rights you may have under applicable law.

16Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, notify you. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
